1. Agreement to these Terms
These Terms of Service govern access to and use of Clyvel, including the hosted application, API gateway, dashboards, documentation and related services. By creating an account, accessing the service or using Clyvel on behalf of an organization, you agree to these Terms and represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the service.
2. Accounts and organization access
- You must provide accurate account information and keep authentication credentials confidential.
- You are responsible for activity performed through your account, API keys and organization membership unless caused by Clyvel's breach of its own obligations.
- Organization owners and administrators may manage members, permissions, API keys, providers and other workspace settings.
- You must promptly revoke credentials or notify Clyvel if you reasonably suspect unauthorized access.
3. The service
Clyvel provides an operational control layer for AI traffic, including an OpenAI-compatible gateway, request telemetry, cost and usage visibility, provider connections, reliability tooling, governance controls and related product features.
Features may evolve over time. Material reductions to paid functionality will be handled in accordance with applicable law and any separate written agreement between Clyvel and the customer.
4. Customer data and AI traffic
You retain ownership of data, prompts, responses, configuration, application metadata and other content you submit to the service. You grant Clyvel the limited rights necessary to host, transmit, process and secure that data solely to provide, maintain, support and protect the service.
When you connect a third-party AI provider, Clyvel may transmit request content and related metadata to that provider at your direction. Your use of a third-party provider remains subject to that provider's terms and policies.
5. Acceptable use
You may not use Clyvel in violation of law, third-party rights, the Acceptable Use Policy or technical restrictions designed to protect the service. You may not attempt to bypass authorization controls, access another tenant's data, distribute malware, perform abusive scanning, interfere with service availability or use the service to facilitate unlawful activity.
6. Fees, plans and billing
Paid plans, included usage, overages and billing intervals are described on the applicable pricing or order page. Provider charges are separate from Clyvel fees unless expressly stated otherwise.
Payments may be processed by a third-party merchant or payment provider. Taxes, refunds, cancellations and renewals are handled according to the applicable plan terms, checkout disclosures and mandatory consumer law.
7. Security and confidentiality
Clyvel uses technical and organizational safeguards appropriate to the service, including organization-scoped authorization, protected session handling, hashed gateway credentials and encrypted storage for provider credentials where configured. No internet service can guarantee absolute security.
Each party must use reasonable care to protect the other party's non-public confidential information and may use it only for purposes related to the service or as required by law.
8. Service availability and changes
Clyvel may perform maintenance, update infrastructure, modify features or suspend access when reasonably necessary to protect users, comply with law, address security risk or prevent abuse. Unless a separate service-level agreement applies, the service is provided without a guaranteed uptime commitment.
9. Intellectual property
Clyvel and its licensors retain all rights in the service, software, documentation, branding and product design, excluding customer data. Feedback may be used to improve Clyvel without restriction or obligation, provided it does not disclose customer confidential information.
10. Suspension and termination
You may stop using Clyvel at any time. Clyvel may suspend or terminate access for material breach, non-payment, security risk, unlawful use or abuse, subject to applicable law and any separate agreement. Where reasonably possible, Clyvel will provide notice and an opportunity to cure before termination for breach.
11. Disclaimers
Except to the extent prohibited by law, Clyvel is provided on an 'as is' and 'as available' basis. Clyvel does not warrant that third-party AI models or providers will be accurate, uninterrupted, error-free or suitable for a particular decision. Customers remain responsible for evaluating model outputs and applying appropriate human review for high-impact uses.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, goodwill or data, arising from these Terms. Unless a separate written agreement states otherwise, each party's aggregate liability arising from the service will not exceed the amounts paid or payable to Clyvel for the service during the twelve months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law.
13. Changes to these Terms
Clyvel may update these Terms to reflect product, legal or security changes. Material changes will be communicated through the service, by email or by another reasonable method before they become effective when required by law.
14. Governing law
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the Argentine Republic, excluding conflict-of-law principles, subject to any mandatory rights or jurisdiction that applicable law gives you.
